BY ACCEPTING THIS AGREEMENT YOU ARE CONSENTING TO BE BOUND BY THE TERMS AND CONDITIONS CONTAINED HEREIN AND ACKNOWLEDGING YOUR AUTHORITY TO DO SO ON BEHALF OF YOUR COMPANY (IF APPLICABLE). IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, DO NOT PROCEED WITH THE INSTALLATION OF THE SOFTWARE. YOU SHOULD PROMPTLY RETURN THE SOFTWARE, DOCUMENTATION, AND ALL COPIES THEREOF. THE TERM “PROMPTLY” AS USED HEREIN SHALL MEAN NO LATER THAN FIVE (5) DAYS FOLLOWING THE DELIVERY OF THE SOFTWARE TO YOU. Progress Software Corporation (“Licensor”) is willing to make available to you ("Licensee"), the following software product(s): the series of Progress DataDirect Connect for ODBC for Apache Hadoop Hive, associated documentation and related information which has not been released by Licensor for commercial use (the "Pre-Release Software") for Beta testing of the Pre-Release Software according to the terms and conditions of this Pre-Release Agreement (this "Agreement") as set forth below. 1. Licensor shall have sole authority and discretion to determine the period of time for its testing and evaluation of the Pre-Release Software. Licensor shall be the sole judge of the success of such testing and the decision, if any, to offer the Pre-Release Software as a commercial product or to change the name of the Pre-Release Software if it is offered as a commercial product. 2. Licensor grants Licensee a nontransferable and nonexclusive right to use the Pre-Release Software for internal, non-production business purposes related to Beta testing of the Pre-Release Software during the term of this Agreement; and to use the associated documentation and related information in support of that use. Licensee shall not sell, lease, rent, license, sublicense, distribute, assign or otherwise transfer the Pre-Release Software to any third party. Licensee is not authorized to permit any other person to use the Pre-Release Software on a time sharing or any other basis. Licensee agrees not to remove any copyright notices, trademark notices, legends, logos or other notices of proprietary restrictions from the Pre-Release Software. Licensee must reproduce and include any copyrights, trademark notice, legends and logos on all copies of the Pre-Release Software made by Licensee. Licensee will use the Pre-Release Software solely for Beta test purposes. Licensee will not make productive use of, modify, decompile, disassemble or reverse engineer the Pre-Release Software, will copy the Pre-Release Software only for archival use relating to Beta testing of the Pre-Release Software, and will provide at least the same protection from unauthorized use or copying as Licensee gives its own products of like importance, but in no event less than a reasonable standard of protection. In addition, Licensee shall not disclose information regarding any benchmark or similar test of the Pre-Release Software to any third party without Licensor’s prior written consent. 3. The Pre-Release Software may contain third party software which is subject to additional terms and conditions. Additional third party terms and conditions are located in file(s) contained with the Pre-Release Software in a ”readme.txt” or “notices.txt” file. All such third party terms and conditions are made a part of and incorporated by this reference into this Agreement. By accepting this Agreement, Licensee is also accepting such additional third party terms and conditions. 4. Licensor is under no obligation to provide maintenance or technical support for the Pre-Release Software, but may from time to time during the period of this Agreement provide Updates at Licensor’s sole discretion. For purposes of this Agreement an “Update” shall mean any update, patch, version and/or new release of or to the Pre-Release Software that Licensor furnishes generally to its Beta customers. Updates shall be subject to the terms and conditions of this Agreement. 5. Licensee acknowledges that the Pre-Release Software is in the development stage, is not a fully tested product offering and has not been subject to Licensor’s normal quality control testing and procedures, and further that it may contain known and unknown errors, that the result of the use and operation may be unreliable, and that damage to Licensee's production environment may be caused by the use of the Pre-Release Software. Licensee agrees that its use of the Pre-Release Software will at all times be entirely voluntary, at its own request and at its own risk. Licensee acknowledges Licensor’s recommendation that Licensee continue to independently utilize and maintain, at Licensee's own expense, and during the term of this Agreement, any data processing capability or service which may be used with the Pre-Release Software or for which Licensee is considering the Pre-Release Software as a replacement. Licensee expressly assumes all risk of loss and liability arising from any failure to maintain any such parallel or back-up operation. 6. Licensee expressly affirms that Licensee is not currently and has no intention to use the Pre-Release Software to work on the development, testing, support, marketing, pricing, or any other function or feature of a software product that is directly or indirectly competitive with the Pre-Release Software. Any such action will be considered a material breach of this Agreement and Licensee shall be obligated to immediately return or destroy all Pre-Release Software in all forms and to immediately notify Licensor in writing that such actions have been taken. Licensee acknowledges that use as described in this Section would cause irreparable harm and significant injury, the degree of which may be difficult to ascertain. Accordingly, Licensee agrees that Licensor will have the right to obtain immediate injunctive relief enjoining any breach of this Section, as well as the right to pursue any and all other rights and remedies available at law or equity for such a breach. 7. The Effective Date of this Agreement will be the date Licensee downloads the Pre-Release Software, and this Agreement will automatically terminate on November 15, 2011 unless otherwise extended in writing by Licensor. Either party may terminate this Agreement prior to the termination above by giving written notice of termination to the other party. Upon the termination of this Agreement, Licensee will return all copies of the Pre-Release Software and associated documentation and related information to Licensor and destroy any archival copies of the Pre-Release Software that have been made. 8. Licensee agrees to provide Licensor with information on a regular basis regarding its experience in using the Pre-Release Software. Licensee also understands that the Pre-Release Software is still undergoing pre-release evaluation and that such Pre-Release Software is not commercially available. LICENSEE UNDERSTANDS AND AGREES THAT THE PRE-RELEASE SOFTWARE BEING TESTED IS A DEVELOPMENT VERSION NOT APPROVED FOR FINAL RELEASE, THAT THE PRE-RELEASE SOFTWARE IS LIKELY TO HAVE ERRORS, FLAWS AND/OR DEVELOPMENTAL DEFICIENCIES AND IT IS THE PURPOSE OF THE LICENSEE BETA TEST TO DETECT THESE IN ORDER THAT LICENSOR MAY ATTEMPT TO MAKE APPROPRIATE CORRECTIONS. NO REPRESENTATION OR WARRANTY OF ANY KIND IS GIVEN BY LICENSOR OR ITS THIRD PARTY SUPPLIERS WITH RESPECT TO THE OPERATION OF THE PRE-RELEASE SOFTWARE OR THE CORRECTION OF ANY ERRORS, FLAWS AND/OR DEVELOPMENTAL DEFICIENCIES, IT BEING UNDERSTOOD THAT IT IS IN LICENSOR'S SOLE DISCRETION WHETHER SUCH CORRECTIONS CAN OR SHALL BE MADE. ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE SHALL NOT APPLY. LICENSOR’S DISCLAIMER OF WARRANTIES WITH RESPECT TO THE PRE-RELEASE SOFTWARE SHALL NOT BE DIMINISHED OR AFFECTED BY, AND NO OBLIGATION OR LIABILITY SHALL ARISE OUT OF, RENDERING OF TECHNICAL OR OTHER ADVICE OR SERVICE IN CONNECTION WITH THE PRE-RELEASE SOFTWARE. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, AND DO NOT ALLOW A LIMITATION ON HOW LONG ANY IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY. 9. Licensor may from time to time request suggestions, feedback or other information from Licensee on Proprietary Information (hereinafter defined) or on released or unreleased software or hardware, including, without limitation, the Pre-Release Software. Any suggestions, feedback or other disclosures made by Licensee are and shall be entirely voluntary on Licensee’s part and shall not create any obligations on the part of Licensor or a confidential relationship between Licensee and Licensor. Instead, Licensor shall be free to disclose and use Licensee’s suggestions, feedback or other information as Licensor sees fit, entirely without obligation of any kind to Licensee. 10. In the course of using the Pre-Release Software and performing the Beta test, Licensee will obtain information relating to the Pre-Release Software and to Licensor which is of a confidential and proprietary nature to Licensor ("Proprietary Information"). Licensee agrees to maintain in strictest confidence and trust all such Proprietary Information, and not use such Proprietary Information other than in the course of the Beta test of the Pre-Release Software or disclose any such Proprietary Information without the prior written consent of Licensor. Licensee shall (i) limit use and disclosure of the Pre-Release Software and Proprietary Information to its employees who agree to be bound by the terms of this Agreement; and (ii) not provide or disclose any of the Pre-Release Software or Proprietary Information to another party. Licensor is not interested in obtaining any information during the term of this Agreement which Licensee considers to be proprietary or confidential. 11. LICENSEE AGREES THAT IT SHALL HAVE NO REMEDY OF ANY KIND FOR ANY DAMAGE OR LOSS RESULTING FROM OR IN ANY WAY CONNECTED WITH ANY PRE-RELEASE SOFTWARE OR SERVICE FURNISHED OR TO BE FURNISHED BY LICENSOR PURSUANT HERETO, WHETHER BY LICENSOR'S BREACH OF WARRANTY, NEGLIGENCE OR ANY BREACH OF ANY OTHER DUTY. LICENSOR’S THIRD PARTY SUPPLIERS SHALL HAVE NO LIABILITY TO LICENSEE FOR ANY DAMAGES SUFFERED BY LICENSEE OR ANY THIRD PARTY AS A RESULT OF USING THE PRE-RELEASE SOFTWARE OR IN CONNECTION WITH ANY SERVICE RELATING THERETO. IN NO EVENT WILL LICENSOR OR ITS THIRD PARTY SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF THE USE OF THE PRE-RELEASE SOFTWARE OR IN CONNECTION WITH ANY SERVICE RELATING THERETO, WHETHER OR NOT INFORMED OF THE POSSIBILITIES OF DAMAGES IN ADVANCE. THESE LIMITATIONS APPLY TO ALL CAUSES OF ACTION, INCLUDING, WITHOUT LIMITATION, BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATION AND OTHER TORTS. 12. Licensor and its suppliers have and will retain all ownership rights to the Pre-Release Software, including all patent rights, copyrights, trademarks, service marks, related goodwill, trade secrets and Proprietary Information. Licensee has no rights in the Pre-Release Software, except as explicitly stated in this Agreement. 13. The Pre-Release Software is a "commercial component," as this term is defined in 48 C.F.R. §2.101, consisting of "commercial computer software" and "computer software documentation," as such terms are defined in 48 C.F.R. §252.227-7014(a)(1) and 48 C.F.R. §252.227-7014(a)(5), respectively, and used in 48 C.F.R. §12.212 and 48 C.F.R. §227.7202, as applicable, and all as amended from time to time. Consistent with 48 C.F.R. §12.212 and 48 C.F.R. §227.7202, and other relevant sections of the Code of Federal Regulations, as applicable, and all as amended from time to time, all U.S. Government entities acquire the Pre-Release Software only with those rights set forth herein. 14. Licensee may not assign this Agreement or any rights hereunder and may not delegate any duties under this Agreement without Licensor’s prior written consent. Any attempt to assign or delegate this Agreement without such consent will be null and void. 15. Licensee agrees to require a representative of Licensee to promptly report all errors encountered during Beta testing directly to Licensor and if necessary, supply a diskette with a sample program that demonstrates the problem. Subject to Section 9, when Licensee completes Beta testing, Licensee agrees to furnish Licensor with a written evaluation of the installability, functionality, performance and usability of the Pre-Release Software and documentation provided. 16. Licensee hereby authorizes Licensor to disclose the fact that Licensee has entered into this Agreement and is undertaking Beta testing for the Pre-Release Software, in connection with Licensor’s publicity and promotion efforts for the Pre-Release Software and for subsequent releases and versions thereof. Unless otherwise permitted by law or in a separate written agreement between Licensor and Licensee, Licensor will not use the name of Licensee in any other way or for any other purpose without the prior written consent of Licensee. 17. The Pre-Release Software, including technical data, is subject to U.S. export control laws, including, without limitation, the U.S. Export Administration Act and its associated regulations, and may be subject to export or import regulations in other countries. Licensee shall not directly or indirectly export or re-export the Pre-Release Software, or the direct product thereof, without first obtaining Licensor’s written approval. Licensee agrees to comply strictly with all regulations and acknowledges that it has the responsibility to obtain licenses to export, re-export or import the Pre-Release Software. The Pre-Release Software may not be downloaded, or otherwise exported or re-exported (i) into, or to a national or resident of, Cuba, Iraq, Iran, North Korea, Libya, Sudan, Syria, Taliban and areas of Afghanistan controlled by the Taliban, or any country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department’s list of Specially Designated Nations or the U.S. Commerce Department’s Table of Denial Orders as amended from time to time. 18. This Agreement, and all matters arising out of or relating to this Agreement, shall be governed by the laws of the Commonwealth of Massachusetts, without regard to its choice of law provisions and without regard to the provisions of any state Uniform Computer Information Transactions Act or similar federal, state, local or foreign laws, regulations or conventions. The parties expressly disclaim the application of the United Nations Convention on Contracts for the International Sale of Goods. 19. The parties' rights and obligations under Sections 6, 7, 8, 10, 11, 12, 17, 18, 21 and any other obligations hereunder which by their nature would continue beyond the termination or expiration of this Agreement shall survive expiration or termination of this Agreement. 20. If any provision of this Agreement is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of this Agreement will remain in force. 21. Waiver by either party of a breach of any provision of this Agreement or the failure by either party to exercise any right hereunder will not operate or be construed as a waiver of any subsequent breach of that right or as a waiver of any other right. 22. This Agreement has been drawn up in English at the express wish of the parties. Le présent contrat a été rédigé en anglais à la demande expresse des parties. 23. THIS AGREEMENT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF AGREEMENT BETWEEN THE PARTIES WITH RESPECT TO THE SUBJECT MATTER HEREOF AND SUPERSEDES ALL PROPOSALS, COMMUNICATIONS, PURCHASE ORDERS AND PRIOR AGREEMENTS, VERBAL OR WRITTEN, BETWEEN THE PARTIES REGARDING SUCH SUBJECT MATTER. To the extent there are any terms and conditions contained in Licensee’s purchase order or other documentation supplied by Licensee such terms and conditions shall be deemed to be stricken and the terms and conditions of this Agreement shall govern. This Agreement shall not be changed, modified or altered in any manner except by an instrument in writing and signed by both parties.
